Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On December 30, 2004, Gordon Bethune retired as our chairman and chief executive officer and resigned his position as a member of the board of directors. As previously announced, upon Mr. Bethune's retirement, Larry Kellner assumed the responsibilities of chairman and chief executive officer and Jeff Smisek became president and joined our board of directors.
