Item 8.01. Other Events.
On October 18, 2005, Continental Airlines, Inc. (the "Company") issued a press release announcing that it had priced a public offering of 18 million shares of its Class B Common Stock at a price to the public of $11.35 per share. The Company has granted the underwriter a 30-day option to purchase an additional 2.7 million shares of common stock to cover over-allotments, if any. The press release announcing this offering is filed herewith as Exhibit 99.1.

CONTINENTAL AIRLINES ANNOUNCES PRICING OF
PUBLIC EQUITY OFFERING
HOUSTON, Oct. 18, 2005 -- Continental Airlines, Inc. (NYSE: CAL) today announced the pricing of a public offering of 18 million shares of its Class B Common Stock at a price to the public of $11.35 per share. Continental has granted the underwriter a 30-day option to purchase an additional 2.7 million shares of common stock to cover over-allotments, if any. Continental expects the issuance and delivery of the shares to occur on October 24, 2005.
UBS Investment Bank is acting as sole underwriter for the offering. When available, copies of the prospectus supplement and prospectus relating to the offering may be obtained from UBS Investment Bank, 299 Park Ave., New York, New York 10171. These documents will also be filed with the Securities and Exchange Commission and will be available at the SEC's Web site at http://www.sec.gov.
The shares will be issued pursuant to a shelf registration statement that was previously filed.
