Item 2.02 Results of Operations and Financial Condition

On April 9, 2015, United Continental Holdings, Inc. (“UAL”), the holding company whose primary subsidiary is United Airlines, Inc. (“United,” and together with UAL, the “Company”), will provide an investor update related to the preliminary financial and operational results for the Company for first quarter 2015. The investor update is attached as Exhibit 99.1 and is incorporated by reference.

Passenger Revenue: In the first quarter, currency fluctuations and extended stage lengths reduced PRASM (passenger revenue per available seat mile) by approximately 1 point and 0.5 points, respectively. Additionally, the method of recognizing passenger revenue for MileagePlus redemptions changed in the first quarter of 2015. The new method recognizes revenue when the redeemed ticket is actually flown – previously the Company made estimates based on average historical redemptions. This change is expected to have no effect on full-year passenger revenue or cash. While it reduced passenger revenue by approximately $75 million compared to the first quarter of 2014, the Company expects to record $50 million and $25 million of additional passenger revenue in the third quarter and fourth quarter of 2015, respectively. United’s domestic PRASM increased approximately 1.5% in the first quarter.

Non-Fuel Expense: In the first quarter, the strong U.S. dollar contributed to 0.5 points of unit cost benefit. The Company also achieved better-than-expected performance in its Project Quality efficiency program.

Fuel Expense: United expects a total first quarter hedge loss of approximately $0.22 per gallon, or approximately $200 million. This expense is included in the cash-settled hedge losses above (combination of operating and non-operating) and will be included in the Company’s first quarter 2015 Non-GAAP earnings. This hedge loss includes $0.01 per gallon, or approximately $10 million, associated with early termination of second quarter hedges, thereby reducing hedge coverage from 15% to 13% for the second quarter of 2015. The expense associated with these early terminations appears in non-operating expense. The first quarter hedge loss that will appear in the fuel expense line is $0.18 per gallon, or approximately $160 million.

Non-Operating Expense: Estimates for non-operating expense include cash settled hedge losses of approximately $0.04 per gallon, or approximately $40 million, in the first quarter of 2015. This includes $0.01 per gallon, or approximately $10 million, of second quarter hedge positions closed out in the first quarter.

Taxes: The Company currently expects to record minimal cash income taxes in 2015. The Company will continue to evaluate expected future financial performance on a quarterly basis to determine whether such performance is both sustained and significant enough to provide sufficient evidence to support reversal of the Company’s valuation allowance.

Gross Capital Expenditures: First quarter capital expenditures are lower than previous guidance due to timing of certain non-aircraft projects shifting to later in the year.

Debt and Capital Lease Payments: United made approximately $320 million of debt and capital lease principal payments in the first quarter of 2015, which includes approximately $90 million of prepayments that were not included in previous guidance. In the first quarter, United also announced its intention to prepay the remaining $298 million of 6% PBGC notes due 2028 on May 1, 2015. In addition, on April 1, 2015 United pre-paid the remaining $303 million of 6% PBGC notes due 2026.

Share Repurchase Program: During the first quarter, the Company spent approximately $200 million to repurchase shares of common stock.

Profit Sharing: For 2015, the Company will pay approximately 10% of total adjusted earnings as profit sharing to employees for adjusted earnings up to a 6.9% adjusted pre-tax margin and approximately 14% for any adjusted earnings above that amount. Adjusted earnings for the purposes of profit sharing are calculated as GAAP pre-tax earnings, excluding special items, profit sharing expense and share-based compensation program expense. Share-based compensation expense for the purposes of the profit sharing calculation is estimated to be $17 million year-to-date through the first quarter.

GAAP to Non-GAAP Reconciliations

UAL evaluates its financial performance utilizing various accounting principles generally accepted in the United States of America (“GAAP”) and Non-GAAP financial measures, including net income/loss, net earnings/loss per share and CASM, among others. Non-GAAP financial measures are presented because they provide management and investors the ability to measure and monitor UAL’s performance on a consistent basis. CASM is a common metric used in the airline industry to measure an airline’s cost structure and efficiency. Pursuant to SEC Regulation G, UAL has included the following reconciliation of reported Non-GAAP financial measures to comparable financial measures reported on a GAAP basis. UAL believes that excluding fuel costs from certain measures is useful to investors because it provides an additional measure of management’s performance excluding the effects of a significant cost item over which management has limited influence. UAL believes that adjusting for special charges is useful to investors because they are non-recurring charges not indicative of UAL’s ongoing performance. UAL also believes that excluding third-party business expenses, such as maintenance, ground handling and catering services for third parties, fuel sales and non-air mileage redemptions, provides more meaningful disclosure because these expenses are not directly related to UAL’s core business. UAL also believes excluding profit sharing allows investors to better understand and analyze our recurring cost performance and provides a more meaningful comparison of our core operating costs to the airline industry. In addition, UAL believes that excluding non-cash (gains)/losses on fuel hedges from non-operating expense is useful because it allows investors to better understand the impact of settled hedges on a given period’s results.

Operational Performance

CHICAGO, April 9, 2015 – United Airlines (UAL) today reported March 2015 operational results.

UAL’s March 2015 consolidated traffic (revenue passenger miles) decreased 0.7 percent and consolidated capacity (available seat miles) decreased 0.6 percent versus March 2014. UAL’s March 2015 consolidated load factor decreased 0.1 points compared to March 2014.
